Attorney

Weiqiong Zhu is a lawyer licensed to practice law in New York State, Georgia State, and China (inactive). Her practice areas focus on foreign direct investment, mergers and acquisitions, private equity investment, private equity fund formation, real estate fund formation, other corporate matters, and business immigration.

Experience

  • Weiqiong began her legal career in 2010 at the Grandall Law Firm (Shanghai) [国浩上海], a top-tier law firm specializing in initial public offerings in China and global capital markets. She represented private equity funds, including Morningside Ventures, IDG, and International Finance Corporation, etc., in their respective private equity investments in dozens of high-tech companies with a total investment amount of approximately US $1.5 billion dollars.
  • As a senior lawyer and a team leader, she closed many famous big deals like series E financing of Xiaomi[小米], the stock purchase transaction between Didi[滴滴] and Kuaidi[快的], etc. In addition, Weiqiong has represented many American and European-based companies on their foreign direct investment in China.
  • In recent years, Weiqiong has focused on U.S. corporate law and business immigration. Weiqiong completed many asset purchase transactions, stock purchase transactions, and private equity transactions. She represented clients on the formation of real estate funds, private equity funds and their private equity investment. She also has helped many Chinese investors set up companies, obtain work visas on behalf of its alien employees, and provided legal services on other legal matters related to doing business in the United States.
  • Weiqiong is a graduate of both of Emory University School of Law (2015) and East China University of Political Science and Law (2010). She has two LL.M. degrees and an LL.B. degree.

We represent a wide range of business entities from startups to global companies on their corporate legal matters. Our services include consultation on entity types, capital structure, and management structure, entity registration, preparing organizational documents, reviewing lease agreement, communicating with local government, structuring incentive plans, employmeng issues, business cooperation and other general corporate affairs. Recently, we help a lot of Chinese investors with their foreign direct investment in the U.S.

Fund Formation

We help our clients on their real estate fund formation, venture capital fund formation, and private equity fund formation. Our legal services include devising the structure of a fund, drafting the whole set of formation documents, and providing legal advices on securities issues.

Mergers & Acquisitions

We handle lots of inbound and trans-border stock purchase transactions, asset purchase transactions, and mergers and acquisitions. We provide in-depth legal services in due diligence work, preparing transaction documents, negotiating, and closing the deals. Our professional legal advices and services will protect you from risks in such complex transactions.

Private Equity Transactions

We represent both of private equity investors and target companies, especially in TMT, and medical services sectors on private equity transactions. Our extensive practice experience in private equity transaction will help the clients at every stage of a transaction from the initial negotiation of term sheet to closing the deal.

Immigration

Our immigration services range from family-based immigration to employment-based immigration. Particularly, we have rich experience in employment-based immigration petitions on behalf of corporations including L-1, H-1B, PERM, EB-1C, EB-2, and EB-3. We also specialized in EB-1A, NIW, E2, and EB-5.
